These Terms of Use ("Terms") form a legal agreement between DBAudit ("DBAudit", "we", "us", or "our") and any person or entity ("you" or "Customer") that accesses or uses the DBAudit website, application, APIs, and related services (collectively, the "Service"). By using the Service, you agree to these Terms.
1. Acceptance and updates
- You must read and accept these Terms before using the Service.
- If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
- We may update these Terms from time to time. Continued use after updates means you accept the revised Terms.
2. Description of Service
DBAudit provides automated and AI-assisted security auditing capabilities for databases, APIs, and related systems submitted by Customers for assessment. Service capabilities, report depth, and scan frequency may vary by plan, purchase, or account configuration.
The Service is provided on an "as-is" and "as-available" basis. A report with no critical findings does not guarantee that a system is fully secure.
3. Account registration and security
- You must provide accurate and complete account information.
- You are responsible for safeguarding account credentials.
- You are responsible for all activity under your account unless caused by our breach of security obligations.
- You must notify DBAudit promptly if you suspect unauthorized account access.
4. Customer authorization and lawful use
- You may only submit assets, endpoints, datasets, or environments that you own or are explicitly authorized to test.
- You represent that all testing requested through the Service is lawful and contractually permitted.
- You must not use the Service to target unauthorized systems, evade legal restrictions, or violate any applicable law.
- DBAudit may suspend accounts, pause scans, or terminate access for suspected unauthorized or unlawful activity.
5. Acceptable use restrictions
- Do not interfere with, disrupt, or degrade the Service or related infrastructure.
- Do not attempt to bypass access controls, rate limits, or security protections.
- Do not scrape or extract Service data in bulk unless explicitly permitted by DBAudit.
- Do not upload malicious code or content intended to damage systems or compromise users.
- Do not impersonate another person or organization.
6. Plans, billing, and cancellation
- Paid access is billed according to your selected plan and billing cycle at checkout or in any applicable order form.
- Unless stated otherwise, subscriptions renew automatically until canceled by you or terminated under these Terms.
- You can cancel future renewals at any time. Cancellation takes effect at the end of the current billing period unless required otherwise by law.
- Fees already paid are non-refundable except where required by law or where DBAudit expressly agrees otherwise.
7. Intellectual property
- DBAudit and its licensors retain all rights in the Service, including software, branding, documentation, and platform content.
- Subject to these Terms, DBAudit grants you a limited, non-exclusive, revocable right to use the Service for your internal business purposes.
- You retain ownership of your submitted data and materials, and you grant DBAudit the rights needed to process that data to provide and improve the Service.
8. Confidentiality and data
- DBAudit treats customer findings and assessment outputs as confidential and limits access to authorized personnel and service providers with confidentiality obligations.
- We may disclose information where required by law, legal process, or binding regulatory request.
- Our data handling practices are further described in the DBAudit Privacy Policy.
9. Disclaimers and limitation of liability
- To the fullest extent permitted by law, the Service is provided without warranties of any kind, express or implied.
- DBAudit does not warrant uninterrupted availability, error-free operation, or detection of every vulnerability or security issue.
- To the fullest extent permitted by law, DBAudit is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
- To the fullest extent permitted by law, DBAudit's aggregate liability under these Terms will not exceed the amount paid by you to DBAudit for the Service in the twelve (12) months before the event giving rise to the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless DBAudit and its affiliates, officers, employees, and agents from third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your breach of these Terms, or your submission of assets for assessment without proper authorization.
11. Suspension and termination
- We may suspend or terminate access to the Service for material breach, unlawful use, or risks to service security and integrity.
- You may stop using the Service at any time and cancel any paid subscription per your billing terms.
- Provisions that by nature should survive termination (including payment obligations accrued, IP, confidentiality, disclaimers, liability limits, and indemnification) will survive.
12. Governing law and disputes
Unless otherwise specified in an order form or separate written agreement between you and DBAudit, disputes related to these Terms will be handled under the governing law and dispute process set out in the controlling commercial agreement between the parties.
13. Entire agreement and severability
These Terms, together with any applicable order form and the Privacy Policy, are the entire agreement regarding your use of the Service. If any part is held unenforceable, the remaining provisions remain in effect.
